1. AGREEMENT AND ACCEPTANCE

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “Client,” “you,” or “your”) and Reinstatement Experts LLC, a Florida limited liability company (“Reinstatement Experts,” “Company,” “we,” “us,” or “our”).

These Terms govern your use of our website, consultations, products, subscriptions, professional services, and other services offered by Reinstatement Experts LLC.

By purchasing a service, placing an order, enrolling in a subscription, submitting a service request, authorizing us to begin work, electronically accepting these Terms, or otherwise using our services, you acknowledge that you have read, understood, and agree to these Terms and any applicable policies incorporated by reference.

If you purchase or authorize services on behalf of a business or other entity, you represent that you have authority to bind that business or entity to these Terms.

2. INDEPENDENT THIRD-PARTY SERVICE PROVIDER

Reinstatement Experts LLC is an independent third-party service provider. We are not Google LLC and are not affiliated with, employed by, endorsed by, sponsored by, certified by, or acting on behalf of Google. We are not an official Google support service.

Google Business Profile and other Google products are owned and operated by Google.

Google Business Profile itself is available from Google at no charge. Fees charged by Reinstatement Experts LLC are for our independent professional services, including consulting, verification assistance, reinstatement assistance, profile management, optimization, monitoring, SEO, advertising management, and related services.

References to Google, Google Business Profile (“GBP”), Google Search, Google Maps, Google Ads, or other Google products identify third-party platforms with which our services may interact and do not imply affiliation, partnership, certification, sponsorship, or endorsement.

3. THIRD-PARTY PLATFORM CONTROL

Reinstatement Experts LLC does not own or control Google Business Profile, Google Search, Google Maps, Google Ads, or other third-party platforms.

Google and other platforms independently control their policies, algorithms, verification procedures, enforcement decisions, eligibility determinations, rankings, advertising systems, account restrictions, and platform functionality.

Google or another applicable platform may independently:

  • approve, deny, or request additional verification;
  • require reverification;
  • approve or deny appeals or reinstatement requests;
  • suspend, restrict, disable, remove, or reinstate profiles or accounts;
  • modify or remove information, reviews, photographs, posts, advertisements, or other content;
  • change rankings, visibility, or placement;
  • restrict or disapprove advertisements or advertising accounts;
  • request additional information or documentation;
  • change policies, algorithms, systems, verification methods, or enforcement procedures; or
  • take other actions affecting a customer’s account, profile, advertising, content, or visibility.

Reinstatement Experts LLC cannot compel, override, control, or guarantee any decision made by Google or another third-party platform.

4. SCOPE OF SERVICES

Services may include, without limitation:

  • Google Business Profile reinstatement and suspension recovery;
  • appeals and escalation assistance;
  • verification and reverification assistance;
  • Business Profile creation and configuration;
  • ownership and access assistance;
  • profile management and optimization;
  • GBP Listing Protection;
  • SEO and Local SEO;
  • website optimization;
  • Google Ads and other advertising management;
  • account audits;
  • consulting;
  • case assessments;
  • policy reviews;
  • monitoring; and
  • related professional services.

The scope of each engagement is determined by the applicable product description, proposal, invoice, order, subscription plan, written communication, or other agreement.

Services outside the agreed scope may require additional authorization and fees.

5. CUSTOMER AUTHORIZATION

By engaging Reinstatement Experts LLC, you expressly authorize us to take actions reasonably necessary to perform the purchased services.

Depending upon the service, this may include authorization to:

  • access and review Business Profiles and related accounts;
  • receive authorized manager access;
  • create or configure profiles;
  • prepare and submit appeals;
  • submit reinstatement requests;
  • communicate with Google support;
  • submit escalations;
  • assist with verification or reverification;
  • make authorized profile changes;
  • review account history;
  • review platform communications;
  • submit customer-provided documentation; and
  • perform other actions reasonably necessary for the purchased service.

You represent that you own the applicable business or have legal authority to authorize these services and provide the necessary access.

Google requires third parties to obtain the business owner’s express consent before claiming or managing a Business Profile.

6. CUSTOMER INFORMATION, DOCUMENTS AND REPRESENTATIONS

Customers may provide Reinstatement Experts LLC with information or documentation including:

  • business licenses;
  • registrations;
  • incorporation documents;
  • leases;
  • utility bills;
  • identification documents;
  • photographs;
  • videos;
  • signage;
  • business addresses;
  • service areas;
  • account information;
  • screenshots;
  • correspondence;
  • proof of ownership;
  • proof of business operations; and
  • other supporting materials.

You represent and warrant that information and materials supplied to us are authentic, accurate, current, lawful, and authorized for use.

You further represent that you have the legal right and authority to provide any personal information or documentation belonging to another individual.

Reinstatement Experts LLC may rely upon information provided by the customer and is not responsible for consequences resulting from false, altered, misleading, incomplete, outdated, fraudulent, or unauthorized information supplied by the customer or another party acting on the customer’s behalf.

We may refuse or discontinue services if we reasonably suspect fraudulent documentation, deceptive verification practices, impersonation, ineligible business activity, platform manipulation, or other activity inconsistent with applicable policies or law.

7. BUSINESS PROFILE CREATION AND VERIFICATION

When a customer hires Reinstatement Experts LLC to create, claim, configure, or assist with verification of a Business Profile, the customer authorizes us to perform actions reasonably necessary for that service.

The customer is responsible for ensuring that the business is legitimate and eligible for a Business Profile and that information provided accurately reflects real-world business operations.

Google independently determines available verification methods.

Verification may involve video, live video, telephone, text, email, documentation, physical-location evidence, business equipment, signage, vehicles, or other methods.

Reinstatement Experts LLC cannot select, override, or guarantee a verification method or verification decision.

Purchasing verification assistance does not guarantee verification.

Customers agree to cooperate with verification requirements and provide requested access, documentation, or participation reasonably necessary to perform the service.

8. OWNERSHIP AND CONTROL

A Business Profile represents the customer’s business.

Providing creation, verification, reinstatement, management, or other services does not transfer ownership of the customer’s business to Reinstatement Experts LLC.

Customers will retain ownership or co-ownership of their Business Profile as required by applicable Google policies.

Upon termination of applicable management services, access and ownership will be handled consistently with Google’s requirements.

Google’s current third-party policy requires customers to retain ownership or co-ownership and requires third parties to provide customers a practical means of discontinuing their services.

9. REINSTATEMENT, APPEAL AND RECOVERY SERVICES

Reinstatement Experts LLC may assist with Business Profile suspensions, restrictions, appeals, escalations, reinstatements, and related recovery processes.

Google retains sole authority to approve or deny reinstatement.

Estimated processing times communicated by Reinstatement Experts LLC are estimates based on experience and available information and are not guarantees.

Processing times may be affected by Google, customer cooperation, documentation, verification requirements, policy changes, support delays, additional review, or other circumstances outside our reasonable control.

10. PAY-AFTER-REINSTATEMENT SERVICES

Certain reinstatement services may be offered on a pay-after-reinstatement basis.

Where applicable, the full agreed service fee becomes due upon successful reinstatement or restoration of the applicable Business Profile.

Payment must be received within 24 hours after Reinstatement Experts LLC provides notice of successful reinstatement, unless different payment terms were agreed to in writing.

The customer’s payment obligation is based upon completion of the agreed reinstatement service.

Payment may not be withheld, delayed, reversed, or refused solely because of subsequent changes in:

  • rankings;
  • search visibility;
  • Maps placement;
  • reviews or review counts;
  • photographs or posts;
  • traffic;
  • calls;
  • leads;
  • customers;
  • sales;
  • revenue; or
  • other Business Profile performance.

11. UPFRONT-PAYMENT RECOVERY SERVICES

Certain complex, escalated, previously denied, second-appeal, verification, recovery, or other cases may require payment before services begin.

Where an upfront-paid reinstatement or recovery service is expressly sold with a 30-day reinstatement refund commitment, the applicable reinstatement service fee may be eligible for refund if the Business Profile has not been reinstated within 30 calendar days after Reinstatement Experts LLC has received all information, access, documentation, authorization, and cooperation reasonably required to perform the service.

The 30-day period may be suspended or reasonably extended for delays caused by:

  • incomplete or inaccurate information;
  • missing documentation;
  • lack of required account access;
  • failure to participate in verification;
  • customer-requested delays;
  • unauthorized profile changes;
  • actions by another agency or manager;
  • Google requesting additional information or customer action; or
  • other circumstances outside our reasonable control.

The 30-day refund provision applies only when expressly offered in writing for the applicable service.

It is not a universal guarantee applicable to every service.

12. CONSULTING FEES

Consultations, assessments, audits, strategy sessions, diagnostic reviews, case reviews, advisory services, and similar professional fees are non-refundable once the consultation, review, analysis, or purchased professional service has been performed or made available.

Consulting fees compensate Reinstatement Experts LLC for professional time, expertise, analysis, and recommendations and do not constitute payment for or a guarantee of reinstatement, verification, ranking, review restoration, or another result controlled by a third party.

13. LATE PAYMENTS

If payment for a pay-after-reinstatement service has not been received within 72 hours after notice of successful reinstatement, Reinstatement Experts LLC may, in its reasonable discretion and to the extent permitted by applicable law, assess a late administrative fee of up to $250.

The fee is intended to address additional administrative, billing, account-management, follow-up, and collection efforts associated with delinquent accounts and is not intended as a penalty.

Reinstatement Experts LLC may reduce or waive a late fee at its discretion.

Waiving or reducing a late fee does not waive the underlying amount owed.

We may suspend or discontinue additional or future services, support, monitoring, management, optimization, consulting, or other work while an account remains delinquent.

Because enforceability of a $250 fee can depend on applicable law and circumstances, I strongly recommend having Florida counsel approve this specific provision before publication.

14. COLLECTION COSTS

If amounts validly owed remain unpaid, Reinstatement Experts LLC may pursue collection through lawful means.

To the extent permitted by applicable law, customers agree to be responsible for reasonable costs incurred in collecting valid delinquent amounts, which may include collection agency fees, filing fees, court costs, and reasonable attorneys’ fees and legal expenses where legally recoverable.

Nothing in these Terms limits any rights or remedies available to either party under applicable law.

15. CHARGEBACKS AND PAYMENT DISPUTES

Customers should contact Reinstatement Experts LLC regarding billing or service concerns and provide a reasonable opportunity for us to investigate and address the matter.

Initiating a chargeback or payment dispute does not automatically eliminate a customer’s contractual obligation to pay for services properly authorized and performed.

Where a payment dispute is initiated, the customer authorizes Reinstatement Experts LLC, to the extent reasonably necessary and legally permitted, to provide relevant records to payment processors, financial institutions, card issuers, banks, collection professionals, attorneys, courts, or other appropriate parties.

Such evidence may include:

  • orders;
  • invoices;
  • customer communications;
  • service authorization;
  • account activity;
  • service records;
  • support communications;
  • profile status information; and
  • evidence demonstrating performance of the purchased services.

We reserve all lawful rights and remedies concerning valid unpaid balances.

16. RANKINGS, REVIEWS AND POST-REINSTATEMENT PERFORMANCE

Reinstatement of a Business Profile does not guarantee restoration of the profile’s previous:

  • rankings;
  • search position;
  • Maps placement;
  • visibility;
  • reviews;
  • review count;
  • photographs;
  • posts;
  • traffic;
  • calls;
  • leads;
  • customers;
  • sales;
  • revenue; or
  • historical performance.

Following suspension, verification, reverification, reinstatement, or another platform action, rankings and visibility may fluctuate.

Reviews or other content may take time to return or may not be restored in full.

Reinstatement Experts LLC does not control Google’s ranking, review, verification, or enforcement systems and cannot guarantee restoration or timing of these features.

Google expressly warns businesses that third parties cannot guarantee placement on Google Search or Maps.

17. FUTURE SUSPENSIONS AND PLATFORM ACTIONS

Successful reinstatement, verification, optimization, management, or recovery does not guarantee that a Business Profile will remain verified, active, unrestricted, or visible indefinitely.

Future platform action may result from:

  • policy changes;
  • algorithm changes;
  • automated enforcement;
  • reverification requirements;
  • customer changes;
  • employee changes;
  • third-party edits;
  • other agencies;
  • user-suggested edits;
  • account activity;
  • business information changes; or
  • other circumstances outside our reasonable control.

Reinstatement Experts LLC is not responsible for subsequent platform actions or decisions outside our reasonable control.

Unless expressly included in an active service plan, future suspension, reverification, appeal, or recovery work may require a separate service and fee.

18. CUSTOMER AND THIRD-PARTY CHANGES

Customers should avoid making material changes to a Business Profile while a verification, appeal, reinstatement, recovery, or other sensitive process is pending unless instructed or agreed upon.

Reinstatement Experts LLC is not responsible for delays, reverification, suspensions, restrictions, lost access, ranking changes, or other consequences caused by unauthorized or conflicting changes made by:

  • the customer;
  • employees;
  • contractors;
  • another marketing agency;
  • SEO providers;
  • website providers;
  • other Business Profile managers; or
  • other third parties.

19. GBP LISTING PROTECTION AND MANAGEMENT

Listing Protection and GBP management services provide the features described in the applicable subscription or service plan.

These services may include monitoring, guidance, verification assistance, suspension or reinstatement support, profile management, optimization, or priority support.

Listing Protection does not constitute insurance and does not guarantee that a profile will never be suspended, restricted, disabled, modified, or required to undergo verification.

Eligibility for services or support is subject to the applicable active plan and its terms.

20. CONTINUOUS LISTING PROTECTION COVERAGE

Listing Protection requires continuous active enrollment and payment.

If a Listing Protection subscription is:

  • skipped;
  • paused;
  • canceled;
  • suspended;
  • unpaid;
  • declined; or
  • otherwise inactive,

active Listing Protection services and benefits cease.

A skipped or paused billing period will be treated by Reinstatement Experts LLC as a cancellation of active service and coverage.

Reactivation or repurchase does not create retroactive protection for issues arising while the subscription was inactive.

Reinstatement Experts LLC is not responsible for suspensions, verification requirements, profile changes, ranking or review changes, or other events occurring during an inactive or unpaid period.

21. SEO AND LOCAL SEO SERVICES

SEO and Local SEO are ongoing optimization services.

Reinstatement Experts LLC does not guarantee:

  • first-page rankings;
  • specific keyword positions;
  • Maps placement;
  • organic traffic;
  • leads;
  • conversions;
  • customers;
  • revenue; or
  • any specific SEO result.

Search rankings may increase, decrease, fluctuate, or remain unchanged due to competition, algorithms, platform changes, website changes, Business Profile activity, market conditions, customer actions, third parties, or other factors.

Where a plan includes optimization for a specified number of priority keywords, including plans containing five priority keywords, those keywords are optimization targets and not guaranteed ranking positions.

Any recommended minimum service period is a strategic recommendation and does not constitute a guaranteed timeframe for results unless expressly stated otherwise.

22. ADVERTISING MANAGEMENT

Advertising management may include campaign creation, optimization, keyword management, bidding strategy, advertisement development, conversion tracking assistance, reporting, and related services.

Reinstatement Experts LLC does not guarantee:

  • ad approval;
  • account approval;
  • impressions;
  • clicks;
  • leads;
  • conversions;
  • cost-per-click;
  • cost-per-lead;
  • conversion rates;
  • sales;
  • revenue;
  • profitability;
  • return on advertising spend; or
  • any particular advertising result.

Google and other advertising platforms independently determine advertising eligibility, approvals, verification requirements, restrictions, suspensions, and enforcement.

Google prohibits third-party agencies from making false or unrealistic claims, including guaranteed placement in Google Ads or organic search.

23. ADVERTISING SPEND AND MANAGEMENT FEES

Unless expressly stated otherwise, advertising spend paid to Google or another advertising platform is separate from Reinstatement Experts LLC’s management fees.

Clients are responsible for applicable advertising charges incurred through their advertising accounts.

By approving an advertising budget, clients authorize advertising expenditures within the agreed spending parameters, subject to the advertising platform’s own billing and budget-pacing systems.

Google requires third-party advertising managers to clearly disclose management fees separately from Google advertising costs and provide clients access to applicable cost and performance information.

24. ANALYTICS, ATTRIBUTION AND REPORTING

Digital analytics and attribution are inherently imperfect.

Tracking and reporting may be affected by:

  • browser restrictions;
  • cookies;
  • privacy settings;
  • consent settings;
  • ad blockers;
  • device switching;
  • tag failures;
  • website changes;
  • telephone tracking;
  • platform modeling;
  • third-party integrations; or
  • technical failures.

Analytics, attribution, conversion tracking, call tracking, and reporting should therefore not be considered an exact accounting of every customer interaction or business result.

25. SUBSCRIPTIONS AND AUTOMATIC RENEWAL

Subscription services automatically renew at the price and billing frequency disclosed at purchase unless canceled.

Unless otherwise stated, subscriptions are month-to-month and do not require a long-term commitment.

Customers must cancel before the next scheduled renewal if they do not wish to incur the next recurring charge.

Subscription payments already processed are non-refundable and non-prorated, except where required by applicable law or expressly stated otherwise in writing.

Promotional first-month discounts, complimentary periods, introductory offers, or discount codes apply only according to the specific promotional terms.

Unless expressly stated otherwise, expiration of a promotion causes subsequent payments to renew at the regular subscription price.

26. NO GUARANTEE OF RESULTS

Except for a specific written refund commitment expressly included with a particular service, Reinstatement Experts LLC does not guarantee outcomes controlled by Google, another third-party platform, consumers, market conditions, or other factors outside our reasonable control.

Past performance, typical timelines, examples, case studies, estimates, projections, or statements concerning common outcomes do not constitute guarantees of future results.

27. REFUSAL, SUSPENSION OR TERMINATION OF SERVICES

Reinstatement Experts LLC may refuse, suspend, or discontinue services where reasonably necessary, including where:

  • payment is overdue;
  • required information or access is not provided;
  • the customer materially breaches these Terms;
  • information appears fraudulent or misleading;
  • the customer requests conduct that may violate platform policies or law;
  • abusive, threatening, fraudulent, or deceptive activity occurs; or
  • continuing the engagement would create unreasonable legal, security, platform-compliance, or operational risk.

Termination does not eliminate amounts validly owed for services already performed.

28. CONFIDENTIALITY AND CUSTOMER MATERIALS

We will use customer-provided confidential information and documentation as reasonably necessary to provide services, maintain records, resolve disputes, protect legal rights, and comply with applicable obligations.

Where necessary to perform an authorized service, information or documentation may be submitted to Google or another applicable third-party platform.

Customers should provide only information reasonably necessary for the requested service.

No electronic transmission or storage method can be guaranteed to be completely secure.

Additional information concerning collection, use, retention, and disclosure of personal information is contained in our Privacy Policy.

29. INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Reinstatement Experts LLC retains ownership of its proprietary methodologies, processes, templates, internal documentation, strategies, systems, workflows, training materials, and other pre-existing intellectual property.

Customers retain ownership of their business information, trademarks, logos, original content, accounts, and other customer-owned materials.

30. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Reinstatement Experts LLC will not be liable for indirect, incidental, consequential, special, exemplary, or similar damages arising from or relating to our services or third-party platform actions.

This includes, without limitation, alleged:

  • lost profits;
  • lost revenue;
  • lost customers;
  • lost leads;
  • lost business opportunities;
  • loss of rankings;
  • loss of visibility;
  • loss of reviews;
  • advertising losses;
  • loss of data;
  • reputational harm; or
  • interruption of business operations.

To the fullest extent permitted by applicable law, Reinstatement Experts LLC’s aggregate liability arising from a particular purchased service will not exceed the amount actually paid to Reinstatement Experts LLC for the specific service giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

I recommend Florida counsel specifically review this liability cap before publication.

31. INDEMNIFICATION

To the extent permitted by applicable law, the customer agrees to indemnify and hold harmless Reinstatement Experts LLC and its owners, officers, employees, contractors, and agents from third-party claims, damages, liabilities, costs, and reasonable legal expenses arising from or relating to:

  • false or misleading information supplied by the customer;
  • fraudulent or altered documentation;
  • unauthorized instructions;
  • customer violations of law;
  • customer violations of third-party platform policies;
  • infringement of third-party intellectual-property rights;
  • unauthorized use of another person’s information or account; or
  • material breach of these Terms.

32. FORCE MAJEURE

Reinstatement Experts LLC will not be responsible for delays or failures caused by circumstances outside our reasonable control, including:

  • Google or third-party outages;
  • platform changes;
  • system failures;
  • internet or telecommunications failures;
  • payment-processor outages;
  • cyber incidents outside our reasonable control;
  • government actions;
  • natural disasters;
  • severe weather;
  • labor disruptions;
  • widespread infrastructure failures; or
  • similar events beyond our reasonable control.

33. ELECTRONIC COMMUNICATIONS AND ACCEPTANCE

Customers consent to conducting transactions and receiving service-related communications electronically.

Electronic acceptance, online orders, checkout acknowledgments, subscription enrollment, emails, forms, affirmative checkbox consent, electronic invoices, and other electronic records may be used to document authorization and agreement.

34. CHANGES TO SERVICES AND TERMS

We may modify these Terms from time to time.

Updated Terms will be posted on our website with an updated revision date.

Changes will apply prospectively except where otherwise permitted or required by law.

Material changes affecting existing recurring services will be communicated as required by applicable law.

35. GOVERNING LAW

These Terms and disputes arising from them will be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable law requires otherwise.

The parties agree that disputes may be brought in courts of competent jurisdiction in Florida, subject to applicable jurisdiction and venue requirements.

I recommend having Florida counsel determine whether you should further specify a particular county and whether arbitration or another dispute-resolution process would benefit the company.

36. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

37. WAIVER

Failure by Reinstatement Experts LLC to enforce a provision of these Terms on one occasion does not constitute a waiver of our right to enforce that provision or another provision in the future.

38. ENTIRE AGREEMENT

These Terms, together with the applicable order, invoice, service description, Refund Policy, Privacy Policy, Subscription & Cancellation Policy, and any other written terms expressly applicable to the purchased service, constitute the agreement between the parties concerning the applicable services.

Where service-specific written terms expressly differ from these general Terms, the service-specific terms will control with respect to that particular service to the extent of the conflict.

39. GOOGLE THIRD-PARTY DISCLOSURE

Reinstatement Experts LLC operates as an independent third-party service provider.

Google Business Profile is available directly from Google at no charge. Customers pay Reinstatement Experts LLC for our independent professional services and expertise, not for access to Google Business Profile itself.

Customers working with Reinstatement Experts LLC may review Google’s official information concerning working with third-party Business Profile providers.

Google requires agencies primarily serving small and medium-sized businesses to make its applicable third-party disclosure notice readily available to customers.

For advertising-management customers, additional Google Ads third-party transparency requirements may apply, including disclosures concerning advertising costs, management fees, performance information, and Google’s advertiser guide.
